License Agreement

You should carefully read the following terms and conditions before using this software and the Readme file before installation. Unless you have a different license agreement signed Ujima Consulting, your use of this software indicates your acceptance of this license agreement and warranty. The agreement covers Registered Version compliance, Governing Law, Disclaimer of Warranty, Shareware Version (Demo Edition), Evaluation and Registration as well as Distribution (Demo Edition).

UJIMASUITES SOFTWARE LICENSE

RIGHTS AND PERMISSIONS

ATTENTION: USE OF THE SOFTWARE IS SUBJECT TO THE ACCOMPANYING UJIMA CONSULTANTS SOFTWARE LICENSE TERMS. USING THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THESE LICENSE TERMS. IF YOU DO NOT ACCEPT THESE LICENSE TERMS, YOU MAY RETURN THE SOFTWARE FOR A FULL REFUND. IF THE SOFTWARE IS BUNDLED WITH ANOTHER PRODUCT, YOU MAY RETURN THE ENTIRE UNUSED PRODUCT FOR A FULL REFUND.

The following License Terms govern your use of the accompanying Software unless you have a separate signed agreement with UJIMASUITES.

License Grant. UJIMA CONSULTANTS grants you a license to Use one copy of the Software. "Use" means storing, loading, installing, executing or displaying the Software. You may not modify the Software or disable any licensing or control features of the Software. If the Software is licensed for "concurrent use," you may not allow more than the maximum number of authorized users to Use the Software concurrently.

Ownership. The Software is owned and copyrighted by UJIMA CONSULTANTS or its third party suppliers. Your license confers no title to, or ownership in the Software and is not a sale of any rights in the Software. UJIMA CONSULTANTS' third party suppliers may protect their rights in the event of any violation of these License Terms.

Copies and Adaptations. You may only make copies or adaptations of the Software for archival purposes or when copying or adaptation is an essential step in the authorized Use of the Software. You must reproduce all copyright notices in the original Software on all copies or adaptations. You may not copy the Software onto any public network.

No Disassembly or Decryption. You may not disassemble or decompile the Software unless UJIMA CONSULTANTS prior written consent is obtained. In some jurisdictions, UJIMASUITES 's consent may not be required for limited disassembly or decompilation. Upon request, you will provide UJIMA CONSULTANTS with reasonably detailed information regarding any disassembly or decompilation. You may not decrypt the Software unless decryption is a necessary part of the operation of the Software.

Transfer. Your license will automatically terminate upon any transfer of the Software. Upon transfer, you must deliver the Software, including any copies and related documentation, to the transferee. The transferee must accept these License Terms as a condition to the transfer.

Termination. UJIMA CONSULTANTS may terminate your license upon notice for failure to comply with any of these License Terms. Upon termination, you must immediately destroy the Software, together with all copies, adaptations and merged portions in any form.

Export Requirements. You may not export or re-export the Software or any copy or adaptation in violation of any applicable laws or regulations.

License Notice

This License Agreement and Warranty shall expire in no more then twelve months after User and/or Agency License purchase is made.

Registered Version

If this is a Single User License purchase, then only one registered copy of UjimaSuites may either be used by a single person who uses the software personally on one or more computers but not at the same time, or installed on a single workstation used non-simultaneously by multiple people, but not both. For more information on the Single User License, Click here." If this is a Network User License purchase, then you may access the registered version of UjimaSuites through a network, provided that you have obtained individual licenses for the software covering all workstations that will access the software through the network. For instance, if eight (8) different workstations will access UjimaSuites on the network, each workstation must have its own UjimaSuites license or be included in the count of the maximum Network User license, regardless of whether they use UjimaSuite at different times or concurrently. If this is a Enterprise User License purchase, then you may access the registered version of UjimaSuites via site to site or a network, provided that you have obtained individual licenses for the software covering all workstations that will access the software through the versions sites and/or networks. For instance, if twenty (20) different workstations will access UjimaSuites via different sites and/on networks, each workstation must have its own UjimaSuites Single license or be included in the count of the maximum Enterprise or Network User license(s), regardless of whether they use UjimaSuites at different times or concurrently. Governing Law

The laws of the State of shall govern this agreement Washington. Any and all legal matters that may have cause to rise from the use of this software will have the laws of the State of Washington and its most local court to Ujima Consultants as having venue and presiding rule.

Disclaimer of Warranty

THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OF MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. In particular, there is no warranty for the optional virus scanning feature (UjimaSuites does not scan for viruses, it simply runs external to user programs that may claim to perform this function). Because of the various hardware and software environments into which UjimaSuites may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED.

Good data processing procedure dictates that any program is thoroughly tested with non-critical data before relying on it. The user must assume the entire risk of using the program. ANY LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE.

Shareware Version (Demo Edition) Evaluation and Registration

The Demo Edition is not free software. Subject to the terms below, you are hereby licensed to use this software (Demo Edition) for evaluation purposes without charge for a period of twenty-one (21) days. If you use this software after the twenty-one (21) days evaluation period, a registration fee equal to the desire license purchase price is required. Payments must be in US dollars drawn on a US bank, and should be sent to Ujima Consultants, 128 24th Avenue, Seattle, Washington 98122. Credit card ordering and quantity discounts are available, as described in the section Ordering Information/Order Form. When payment is received you will be sent a registered copy of the latest version of UjimaSuites.

Self-extracting ZIP files created by UjimaSuites Self-Extractor Demo Edition (distributed as part of the UjimaSuites package) contain, among other things, a portion of UjimaSuites Self-Extractor, including copyrighted software, proprietary notices, and identifying information (the "Extraction Software"). You may not alter or modify the Extraction Software and cannot give anyone else permission to modify the Extraction Software. UNDER NO CIRCUMSTANCES ARE YOU LICENSED TO DISTRIBUTE the UjimaSuites Single, Network, Enterprise or Negotiable EDITIONS. Ujima Consultants Unregistered use of UjimaSuites or UjimaSuites Demo Edition after the twenty-one (21) days evaluation period is in violation of U.S. and International copyright laws.

Distribution (Demo Edition)

Provided that you verify that you are distributing the Demo Edition Version (select About from the UjimaSuites Help menu to check) you are hereby licensed to make as many copies of the Demo Edition version of this software and documentation as you wish. Furthermore, you may give exact copies of the original Demo Edition version to anyone; and distribute the Demo Edition version of the software and documentation in its unmodified form via electronic means. There is no charge for any of the above.

You are specifically prohibited from charging, or requesting donations, for any such copies, however made. You are also prohibited from distributing the software and/or documentation with other products (commercial or otherwise) without prior written permission, with one exception: Disk Vendors approved by the Association of Shareware Professionals are permitted to redistribute UjimaSuites, subject to the conditions in this license, without specific written permission.

U.S. Government Restricted Rights. The Software and Documentation have been developed entirely at private expense. They are delivered and licensed as "commercial computer software" as defined in DFARS 252.227-7013 (Oct 1988), DFARS 252.211-7015 (May 1991) or DFARS 252.227-7014 (Jun 1995), as a "commercial item" as defined in FAR 2.101(a), or as "Restricted computer software" as defined in FAR 52.227-19 (Jun 1987) (or any equivalent agency regulation or contract clause), whichever is applicable. You have only those rights provided for such Software and Documentation by the applicable FAR or DFARS clause or the UJIMA CONSULTANTS standard software agreement for the product involved.
